1) Agreement to Terms
These Terms & Conditions (“Terms”) are a binding agreement between you (“you”) and Meridian Prep LLC (“Meridian Prep,” “Company,” “we,” “us,” or “our”) governing your access to and use of https://www.MeridianPrep.com and any related sites, mobile sites, applications, or services that link to these Terms (collectively, the “Site”).
By accessing or using the Site, you confirm you have read, understand, and agree to be bound by these Terms. If you do not agree, do not use the Site.
We may update these Terms from time to time by posting a revised version with the updated date above. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
The Site is not intended for use in any jurisdiction where such use would violate applicable laws or subject us to additional registration requirements. You access the Site at your own initiative and are responsible for compliance with local laws.
Minors: If you are under 18, you may use the Site only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

2) Intellectual Property Rights

3) User Representations

if under 18, your parent/guardian has reviewed and accepted these Terms and supervises your use;

you will not use the Site for unlawful or unauthorized purposes; and
your use complies with all applicable laws and regulations.
We may suspend or terminate access if information you provide is false, inaccurate, or incomplete.
4) Prohibited Activities
You agree not to:

You represent and warrant that you own or have all rights necessary for your Contributions; they do not infringe third-party rights; and they comply with these Terms and applicable law. You are solely responsible for your Contributions. We may remove or restrict Contributions at our discretion.
6) License to Contributions
You retain ownership of your Contributions. By submitting Contributions, you grant Meridian Prep a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, publicly perform/display, and distribute such Contributions in connection with operating, improving, and promoting the Site and our services.
You agree we may use and share any feedback or suggestions you provide without compensation.
7) Submissions (Feedback)
Any questions, comments, ideas, or feedback you send us regarding the Site (“Submissions”) are non-confidential. We may use Submissions for any lawful purpose without acknowledgment or compensation. You waive any moral rights in such Submissions to the extent permitted by law.
8) Site Management
We may (but are not obligated to): monitor the Site for violations; take legal action for unlawful use; restrict/disable access to any Content or Contributions; remove files or content that burden our systems; and operate the Site to protect our rights and ensure proper functioning.
9) Privacy Policy
Your use of the Site is subject to our Privacy Policy (incorporated by reference) available at https://www.MeridianPrep.com/privacy-policy. The Site is hosted in the United States. By using the Site from other regions, you consent to the transfer and processing of your data in the United States as described in the Privacy Policy.
10) Term & Termination
These Terms remain in effect while you use the Site. We may, at any time and without notice, suspend or terminate your access for any reason, including violation of these Terms or applicable law, and may block certain IP addresses. If terminated, you may not create a new account under your name or any alias. We reserve all rights to pursue legal remedies.
11) Modifications & Service Interruptions
We may change, suspend, or discontinue any part of the Site at any time without notice. We do not guarantee the Site will be available at all times and are not liable for any downtime, delays, or data loss.
12) Governing Law
These Terms and your use of the Site are governed by the laws of the State of California, without regard to conflict-of-law principles.
13) Dispute Resolution
Informal Resolution. Before filing a claim, the parties will try in good faith to resolve disputes informally for 30 days after written notice.
Binding Arbitration & Venue. If not resolved, disputes will be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration may be conducted in person in Alameda County, California, or remotely at the arbitrator’s discretion. You waive the right to a jury trial.
Class Action Waiver. Disputes must be brought individually and not as a class or representative action.
Carve-outs. Either party may seek injunctive relief for intellectual property or data-security violations in a court of competent jurisdiction in Alameda County, California.
Time Limit. Any claim must be filed within one (1) year after it arose.
14) Corrections
The Site may contain errors or omissions. We may correct or update information at any time without notice.
15) Disclaimer of Warranties
The Site and all Content are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the accuracy or completeness of the Site, nor that it will be secure or error-free.
16) Limitation of Liability
To the maximum extent permitted by law, Meridian Prep LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or goodwill, arising from or related to your use of the Site, even if advised of the possibility of such damages. Our total liability for all claims shall not exceed the greater of USD $100 or the amount you paid to us for the service giving rise to the claim.
17) Indemnification
You agree to defend, indemnify, and hold harmless Meridian Prep LLC, its affiliates, and their officers, directors, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (1) your use of the Site; (2) your breach of these Terms; (3) your Contributions; or (4) your violation of another’s rights.
18) User Data
We may maintain data you transmit to the Site to operate and improve the Site. While we perform routine backups, you are responsible for your own data. We are not liable for any loss or corruption of data.
19) Electronic Communications, Transactions & Signatures
By visiting the Site, emailing us, or completing forms, you consent to receive electronic communications and agree that such communications satisfy legal requirements for written notices. You agree to the use of electronic signatures, contracts, orders, and records.
20) Miscellaneous
These Terms, together with any policies posted on the Site, constitute the entire agreement between you and us regarding the Site. If any provision is held invalid, the remainder stays in effect. Our failure to enforce a provision is not a waiver. We may assign our rights at any time. No agency, partnership, or employment relationship is created by your use of the Site. You waive any defense based on the electronic form of these Terms.
